Elite Trainr

This Trainer Agreement (“Agreement”) is entered into between Formateur Elite Inc., operating as Elite Trainr (“Elite Trainr”, “we”, “us”, or “the Platform”), and the individual or entity registering as a trainer (“Trainer”, “you”).
By creating a Trainer account or using Elite Trainr, you agree to be bound by this Agreement.
1. Role of Elite Trainr
Elite Trainr is a software-as-a-service (SaaS) platform that provides tools for fitness professionals to manage coaching, programming, communication, and client progress tracking.
Elite Trainr:
- Is not an employer of the Trainer
- Does not supervise or control Trainer services
- Does not guarantee clients or income
- Is not a party to any trainer-client agreement
- Is not responsible for Trainer conduct, coaching methods, or results
2. Independent Contractor Status
Trainers are independent users of the Platform and are solely responsible for:
- Their certifications and qualifications
- Compliance with laws and regulations
- Client safety and supervision
- Taxes, insurance, and business operations
Nothing in this Agreement creates an employment, partnership, or joint venture relationship.
3. Payments & Stripe Integration
- Trainers may connect their own Stripe account to collect payments from clients.
- Elite Trainr does not process, store, or manage trainer-client payments.
- Elite Trainr does not charge transaction fees or commissions on trainer-client payments.
- All payment disputes are strictly between the Trainer and the client.
Elite Trainr charges Trainers only for Platform subscription fees, which are non-refundable.
4. Trainer Responsibilities
Trainers agree to:
- Provide professional, ethical, and safe coaching services
- Communicate respectfully with clients
- Avoid harassment, abuse, or misleading claims
- Ensure programming aligns with client ability and health status
- Maintain confidentiality of client information
5. Content Ownership & Platform License
- Trainers retain ownership of original content they create (programs, workouts, meal plans, messages).
- Trainers grant Elite Trainr a non-exclusive, royalty-free license to host, display, and process such content solely for Platform operation.
6. Client Data & Personal Tracking
Notwithstanding account cancellation or deletion:
- Clients always retain access to their personal tracking data, including:
- Logged workouts
- Nutrition tracking
- Check-ins
- Biofeedback
- Progress photos
- Client-entered data within their own accounts is never deleted as a result of a Trainer’s account cancellation or deletion.
- Trainer-created programs that have been used or tracked by clients may remain visible within client history for record-keeping and continuity purposes.
7. Failed Payments, Automatic Retries & Account Termination
If a Trainer’s Elite Trainr subscription payment fails for any reason:
7.1 Automatic Retry Schedule
- Elite Trainr will automatically retry the past-due payment seventy-two (72) hours after the initial failed attempt.
- If the payment fails again, Elite Trainr will retry the payment twenty-four (24) hours later.
- If the payment fails a third time, Elite Trainr will attempt a final retry twenty-four (24) hours after the second retry.
7.2 Automatic Account Cancellation
- Upon the third failed payment attempt, the Trainer’s account will be automatically canceled.
- Once canceled:
- The Trainer will immediately lose access to the Platform.
- All clients associated with the Trainer will also lose access to the Trainer’s services within the Platform.
- Messaging, programming access, check-ins, and coaching tools will be disabled.
7.3 Reactivation & Current Rates
- Following automatic cancellation due to failed payments, the Trainer must re-register for a new Elite Trainr subscription to regain access.
- Upon re-registration:
- The Trainer will be subject to current subscription pricing and plans, regardless of any previous grandfathered or legacy rates.
- Previous pricing, promotions, or discounts will not be reinstated.
7.4 No Refunds or Liability
- Elite Trainr is not responsible for any loss of income, clients, data access, or business disruption resulting from failed payments or account cancellation.
- Subscription fees remain non-refundable, including in cases of payment failure or automatic cancellation.
8. Account Cancellation (Subscription Cancellation)
If a Trainer cancels their Elite Trainr subscription:
- The Trainer’s account will be deactivated, and access to the Platform will be suspended.
- All Trainer data, including programs, plans, messages, and client associations, will be retained for twelve (12) months.
- During this 12-month period, the Trainer may reactivate their account without loss of data.
- After twelve (12) months of continuous inactivity, the entire Trainer account and associated data will be permanently deleted.
Elite Trainr is not responsible for data loss after the expiration of this retention period.
9. Permanent Account Deletion
If a Trainer requests complete and permanent deletion of their account:
- The Trainer’s account will be placed in a pending deletion state for fourteen (14) days.
- During this 14-day period, the Trainer may reverse the deletion request by contacting Elite Trainr support.
- After fourteen (14) days, the Trainer’s account, profile, and access credentials will be permanently deleted.
- Trainer-created content may be deleted or anonymized at Elite Trainr’s discretion.
- Client personal tracking data will remain intact as outlined in Section 6.
Once permanent deletion is completed, data recovery is not possible.
10. No Data Retrieval After Deletion
Upon permanent deletion of a Trainer account:
- The Trainer waives any right to retrieve, export, or reclaim content or data stored on Elite Trainr.
- Elite Trainr has no obligation to provide data exports following account deletion.
11. Health & Medical Disclaimer
Trainers acknowledge and agree that:
- Elite Trainr does not provide medical advice.
- Trainers are solely responsible for all exercise, nutrition, and supplement guidance provided to clients.
- Trainers must ensure clients consult a licensed medical professional before beginning any program.
Trainers agree to indemnify and hold harmless Elite Trainr from claims arising from:
- Injuries
- Health complications
- Program design
- Nutrition or supplement recommendations
- Trainer negligence or misconduct
12. Termination for Cause
Elite Trainr reserves the right to suspend or terminate Trainer accounts immediately for:
- Violations of this Agreement
- Client complaints or safety concerns
- Harassment or abusive behavior
- Fraud or illegal activity
- Misuse of the Platform
Termination does not entitle the Trainer to refunds.
13. Limitation of Liability
To the fullest extent permitted by law:
- Elite Trainr shall not be liable for indirect, incidental, or consequential damages.
- Elite Trainr’s maximum liability shall not exceed the amount paid by the Trainer in the preceding thirty (30) days.
14. Governing Law
This Agreement is governed by the laws of Quebec, Canada.
